Terms of Service

1. Overview

These Terms of Service govern your use of the services provided by Hornburg AI, a division of Hornburg Holdings LLC, a Texas limited liability company ("Hornburg AI," "we," "us," or "our"). By engaging our services or using this website, you agree to these terms.

2. Services

Hornburg AI provides AI consulting, development, coaching, and workshop services for businesses. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or engagement agreement signed by both parties before work begins.

3. Engagement Process

• All engagements begin with a free introductory conversation at no obligation.
• Paid work does not begin until both parties sign a written SOW or engagement agreement.
• Each SOW specifies the scope, deliverables, timeline, payment terms, and any additional conditions.

4. Payment Terms

• Payment terms are specified in each SOW. Unless otherwise stated, invoices are due within 15 days of receipt.
• We accept payment via bank transfer, credit card, or other methods specified at the time of invoicing.
• Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

5. Refund and Cancellation Policy

• Workshops and coaching sessions: Full refund if cancelled at least 48 hours before the scheduled session. Cancellations within 48 hours are non-refundable but may be rescheduled once.
• Project-based engagements: Either party may terminate with 14 days written notice. You are responsible for payment for all work completed through the termination date. Fees paid for incomplete milestones will be refunded on a pro-rata basis for work not yet performed.
• Retainer engagements: Either party may cancel with 30 days written notice. No refund for the current billing period; service continues through the end of that period.

6. Intellectual Property

• Upon full payment, you own the custom deliverables created specifically for your engagement (code, workflows, agents, documentation).
• We retain ownership of our pre-existing tools, frameworks, templates, and methodologies, and the right to reuse general knowledge and techniques.
• Neither party may use the other's trademarks or logos without prior written consent.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business data, processes, trade secrets, and any materials provided for AI analysis. Confidentiality obligations survive the termination of any engagement.

8. Limitation of Liability

Hornburg AI provides services on an "as-is" basis appropriate to the agreed scope. Our total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

9. AI and Third-Party Tools

Our services may involve the use of third-party AI platforms (such as Anthropic Claude, OpenAI, Microsoft Azure, or others). We do not guarantee the accuracy or availability of third-party services. We will advise you on data handling practices, but you are responsible for ensuring that any data you provide complies with your own legal and regulatory obligations.

10. Governing Law

These terms are governed by the laws of the State of Texas. Any disputes will be resolved in the courts of Bexar County, Texas.

11. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to active clients. The current version is always available on this page.
